Terms & Conditions for use of Speedcast Websites and Resources

Introduction

If you (1) access or use Speedcast.com or any other Speedcast provided resources or information electronically, including newsletters, online meetings or webinars or (2) register for or attend in person trade shows or other promotional events, (collectively “Speedcast Websites and Resources”) you acknowledge that you have read, understand, and agree to be bound by these terms.  If you do not agree with these terms and conditions or any part of them, do not use or access Speedcast Websites and Resources.

Speedcast’s Privacy Policy and Cookies Policy

Speedcast is committed to safeguarding the privacy of your personal data when you access or use Speedcast Websites and Resources.  Please read our Privacy Policy and Cookies Policy as they are incorporated in these terms and conditions and will help you understand how and for what purposes your personal data will be collected and used when you interact with Speedcast Websites and Resources.

Unless we have stated otherwise, Speedcast and/or its licensors own the intellectual property rights in any material on Speedcast Websites and Resources. Subject to the license below, all intellectual property rights are reserved.  You are granted non-exclusive, non-transferable and limited permission to view, download for caching purposes only and print content from Speedcast Websites and Resources for your own use and for the purpose of concluding transactions or accessing information from  Speedcast Website and Resources, subject to the following restrictions.  You must not:

Acceptable use and rules of conduct

You confirm that you are over 18 years of age.  You confirm that if you engage with Speedcast Websites and Resources purportedly on behalf of a business you own or are employed by, then you are in fact the representative of and are authorized to engage with Speedcast on behalf of such business.

You must not use Speedcast Websites or Resources in any way that causes, or may cause, damage to them or impairment of the availability or accessibility to others; in any way which is unlawful, illegal, fraudulent or harmful, in connection with any unlawful, illegal, fraudulent or harmful purpose or activity or contrary to any applicable law or regulation.

You must not use Speedcast Websites or Resources to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction data harvesting, training of AI resources or tools) from Speedcast Websites or Resources without Speedcast’s express written consent.

Without prejudice to the generality of the foregoing paragraph, Speedcast does not warrant that:

  • Speedcast Websites or Resources will be constantly available, or available at all; or
  • Information on the Speedcast Websites or Resources is complete, true, accurate or non-misleading.

Nothing on Speedcast Websites or Resources constitutes, or is meant to constitute, advice of any kind.

Global Availability

Information Speedcast publishes on Speedcast Websites or Resources may contain references or cross references to Speedcast products and services that are not announced or available in your country. Exceptions
Nothing in these terms and conditions will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in the terms and conditions will exclude or limit Speedcast’s liability in respect of any matter which it would be illegal or unlawful for Speedcast to exclude or limit, or to attempt or purport to exclude or limit, its liability.

Reasonableness
By using these Speedcast Websites and Resources, you agree that the disclaimers and exclusions and limitations of liability set out in these terms and conditions are reasonable.

If you do not think they are reasonable, you must not use Speedcast Websites and Resources.

Other parties
You accept that, as a limited liability entity, Speedcast has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Speedcast’s officers or employees in respect of any losses you may suffer in connection with the Speedcast Websites or Resources.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in the disclaimer in the Speedcast Websites or Resources will protect Speedcast’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Speedcast.

Indemnity
You hereby indemnify Speedcast and undertake to keep Speedcast indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Speedcast to a third party in settlement of a claim or dispute on the advice of Speedcast’s legal advisers) incurred or suffered by Speedcast arising out of any breach by you, or arising out of any claim that you have breached, any provision of these terms and conditions.

Breaches of these terms and conditions
Without prejudice to Speedcast other rights under these terms and conditions, if you breach these terms and conditions in any way, Speedcast may take such action as Speedcast deems appropriate to deal with the breach, including suspending your access to Speedcast Websites and Resources, prohibiting you from accessing them, blocking computers using your IP address from accessing them, contacting your internet service provider to request that they block your access to them and/or bringing court proceedings against you.

Variation
Speedcast may revise these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of Speedcast Websites and Resources from the date of the publication of the revised terms and conditions on Speedcast.com. Please check this page regularly to ensure you are familiar with the current version.

Severability
If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Entire agreement
These terms and conditions constitute the entire agreement between you and Speedcast in relation to your use of Speedcast Websites and Resources and supersede all previous agreements in respect of your use of the Speedcast Websites and Resources.

Law and jurisdiction
Unless in relation to a transaction with Speedcast where the law and resolution of disputes is set out in the applicable order or agreement between you and Speedcast, these terms and conditions will be governed by and construed in accordance with the laws of Texas, USA and any disputes relating to these terms and conditions will be subject to the non-exclusive jurisdiction of the courts of Texas, USA.
